Uttarakhand Power Corporation Limited vs Shirdi Industries Ltd

National Company Law Appellate Tribunal27 March 2025Ashok Bhushan

Ratio decidendi

The rule this decision rests on

The appeal is directed against an interlocutory order of the Adjudicating Authority that merely directed the vetting of a bank guarantee. The Tribunal holds that an interlocutory direction which is a continuation of an earlier order, and which does not itself decide any substantive right, does not provide a sustainable basis for appellate interference; the appeal against such an order is therefore not entertained and is dismissed. Where an earlier order has accepted a party's undertaking to deposit a part of the disputed amount and to furnish a bank guarantee for the balance, that order governs the scope of the payment obligation, and a subsequent order which gives effect to it by directing vetting of the guarantee cannot be read as enlarging that obligation to the entire amount claimed.

16.12.2024 where the Adjudicating Authority has noticed the total amount of

Rs.5,85,88,722/- which was due on the respondent. Adjudicating Authority

however, noted the submission of the respondent they want to deposit Rs.

60,69,764/- and rest bank guarantee which was noticed in paragraph 4 and

thereafter the matter was fixed on 14.01.2025. Against the order dated

dismissed by this Tribunal vide order dated 04.03.2025 on the ground of

delay.

2. Ld. Counsel for the Applicant submits that the Respondent UPCL had advised an outstanding of Rs.5,85,88,722/- vide its order dated 12.12.2024. Out of this the Ld. Counsel for the Applicant

2 of 4 Company Appeal (AT) (Ins) No. 303 of 2025 is ready to deposit of Rs.60,69,764/- within period of one (1) week and also furnish a bank guarantee for Rs.3,35,94,660/- within two (2) weeks.

6. The order dated 22.01.2025, the subsequent order passed by the

Adjudicating Authority, we have already extracted above where the appellant

was directed to vet the bank guarantee. That counsel for the appellant

submits that order dated 22.01.2025 has to be read along with order dated

16.12.2024 and the respondent are liable to deposit the entire amount.

7. We have considered the submissions and perused the records. The

Order dated 16.12.2024 paragraph 4 accepted the request of the respondent

to deposit the amount Rs.60,69,764/- and thereafter bank guarantee for

Rs.3,35,94,660/- hence we are unable to accept the submission of the

appellant that the respondent be directed to deposit the entire amount. The

order dated 22.01.2025 is only directed for vetting up the bank guarantee

which is in continuation of the earlier order dated 16.12.2024. We thus, do

3 of 4 Company Appeal (AT) (Ins) No. 303 of 2025 not find any infirmity in the order dated 22.01.2025 to entertain this appeal.

The Appeal is dismissed.
