Revocation order in the matter of Kavit Industries Ltd

Securities And Exchange Board Of India18 July 2018

Ratio decidendi

The rule this decision rests on

Where a forensic audit and the supporting documents disclose no evidence substantiating a person's role in misuse or misrepresentation of a company's financials, no violation of securities laws is established against that person. Interim directions founded on that role therefore lose their basis and need not be continued against that person. Interim directions under the Securities and Exchange Board of India Act, 1992 may be revoked in part, entity by entity, under the powers in section 19 read with sections 11, 11(4) and 11B, where the basis for them is not sustained as to particular entities. Directions against entities in respect of whom violations of securities laws are observed remain in force pending the continuation of proceedings against them.

In view of the said objective, SEBI vide the said letter dated August 7, 2017 also placed the scrip in the trade to trade category with limitation on the frequency of trade and imposed a limitation on the buyer by way of 200% deposit on the trade value, so as to alert them trading in the scrip.
