Order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Indiabulls Real Estate Ltd.

Securities And Exchange Board Of India19 March 2021

Ratio decidendi

The rule this decision rests on

A proposed indirect acquisition of target company shares by a family trust, which would otherwise attract the open offer obligation under regulation 5(1) read with regulation 4, may be exempted under regulation 11(5) where it is an internal reorganisation within the promoter family. The conditions are that the trust is a mirror image of the promoters' holdings, the promoter and promoter-group and public shareholdings are unchanged, there is no change in control, and the trustees and beneficiaries are limited to immediate family members and lineal descendants. The acquirer must also comply with the guidelines in the SEBI Circular dated 22
