Order in the matter of Swati Jain
- Order No.WTM/ISD/115/2016
Ratio decidendi
The rule this decision rests on
A person not named in an interim restraint order, who is merely a joint holder with a restrained person in a demat account, is not barred by that order from dealing with the securities. Where the restrained person's joint holding is shown to be nominal, the non-restrained holder's rights in the securities are determined by the source of the funds used to acquire them and the holder's own beneficial interest. Where the non-restrained holder shows, through documents including a chartered accountant's certificate, that the securities were acquired from her own funds and are her property, and that she did not hold the securities of the restrained company, the balance of convenience favours permitting her to transfer those securities to an account held in her sole name. Such transfer is subject to the supervision of the exchanges and depositories and is without prejudice to the findings of the pending investigation.
