The rule this decision rests on
The measures under section 11(1) of the SEBI Act, having been held by the Securities Appellate Tribunal to be quasi-judicial and made without investigation, may be reconsidered by SEBI under sections 11(4) and 11B, which permit orders in the interests of investors or the securities market either pending or on completion of an investigation or inquiry, and which SEBI may cause to be made. Where the company is given a hearing and responds with documentary material on the allegations, the question is whether that material discloses prima facie evidence of misrepresentation of financials or business, of violation of the listing regulations, or of misuse of books or funds, including accommodation entries. If it does not, and there is no reasonable ground to verify the financials by audit, the interim measures founded on those allegations are liable to be revoked. Interim measures taken on a listing of companies by the MCA and SFIO are not sustained by that listing alone once the company's explanations and documents are considered, and the continuation of the measures must be justified by prima facie material on the

SEBI placed trading restrictions, on the promoters/directors so that they do not exit the company at the cost of innocent shareholders. In view of the said objective, SEBI vide the said letter dated August 7, 2017 also placed the scrip in the trade to trade category with limitation on the frequency of trade and imposed a limitation on the buyer by way of 200% deposit on the trade value, so as to alert them trading in the scrip. The said measures were initiated by SEBI pending final determination after verification of credentials and fundamentals by the exchanges, including by way of audit and forensic audit if necessary. The measures also envisaged, on the final determination, delisting of companies from the stock exchange, if warranted.
