1. Kolkata Weir Industries Limited ("the Company" or "KWIL") is a company incorporated under the Companies Act, 1956, having its registered office at Vill. Jayadebpur, P.O- Darikrishna Nagar, PS: Diamond Harbour, West Bengal-743368.
2. The Securities and Exchange Board of India (hereinafter referred to as "SEBI") had conducted an examination into the mobilisation of funds by the Company. Pursuant to the preliminary examination and on the basis of certain prima facie findings and observations, SEBI had passed an interim Order dated August 14, 2014 ("the interim order") in respect of the Company and its directors/promoters, namely, Mr. Sahajahan Khan, Mr. Samsul Alam Khan, Mr. Ram Krishna Mondal, Mr. Prabir Haldar, Mr. Ratan Kumar, Mr. Ajay Kumar Srivastab, Mr. Selim Laskar, Mr. Lukaman Ansari, Mr. Chandan Chowdhury, Mr. Sahajamal Khan and Mr. Lakshmi Kanta Gayen, wherein the said company and its directors/promoters were directed - (a) not to collect any more money from investors through issuance of securities in any manner whatsoever;
(b) not to dispose of any of the properties or alienate any of the assets owned/acquired by KWIL without prior permission from SEBI; and (c) not to divert any funds raised from public at large which are kept in bank account(s) and/or in the custody of KWIL.
The aforesaid directions came into immediate effect and are to be in force till further orders from SEBI. The interim order also served as a show cause notice to the Company and its directors/promoters, and were advised to show cause as to why appropriate directions under the SEBI Act should not be taken against them for non-compliance with sections 56, 60, 73 etc. of the Companies Act, 1956 ("the Companies Act").
3. The prima facie findings/violations which were observed in the preliminary examination conducted by SEBI with respect to the mobilisation of funds by the Company as also mentioned in the interim order are summarised herein below :
(a) The Company had invited subscription from the public for private placement of redeemable preference shares of ₹10/- each or ₹100/- each, in accordance with the different plans floated by the Company. The Company had issued redeemable preference shares on several occasions since its incorporation. As per the Company's Balance Sheet as on March 31, 2012, the Company had mobilized ₹47.90 crores through its offer of redeemable preference shares.
(b) It was also noticed from the audited accounts of the Company that it had collected share application money to the tune of ₹6.3 Crores in 2009-10, which increased to ₹10.25 Crores in 2010-11 and further increased to ₹40.03 Crores in 2011-12. The aforesaid monetary amount collected was lying under the head "Share Application Money pending allotment" without actual allotment.
(c) Though the Company has stated that it made the offer of redeemable preference shares on private placement basis, it has approached 1,05,809 number of investors and mobilized funds to the tune of ₹47.90 crores. As the offer was made to more than 49 persons, the offer became a public offer in terms of the first proviso to section 67(3) of the Companies Act.
(d) The Company had contravened the provisions of section 73(1) of the Companies Act as it was statutorily mandated to obtain permission for listing of such shares issued to the public on a stock exchange, which it failed.
(e) Further, in terms of section 73(2) of the Companies Act, the Company having not sought permission for listing its shares on a stock exchange, was liable to forthwith repay without all moneys received from the investors and if such moneys were not repaid within 8 days after acquiring the liability, the Company and every officer who is in default shall on expiry of the eighth day become jointly severally be liable with interest. There is no evidence to show that the Company had repaid interest to the investors where shares were not allotted within 8 days.
(f) The Company has failed to file a prospectus/red herring prospectus to the Registrar of Companies in respect of its issuances of redeemable preference shares in terms of section 60 read with section 2(36) of the Companies Act. The Company has also not complied with the provisions of section 56(1) and 56(3) of the Companies Act.
(g) The Company did not furnish information, as advised by SEBI during its preliminary examination, with respect to the filing of the prospectus/red herring prospectus with RoC, date of opening and closing of subscription list, number of allottees, amount collected etc.
4. The Company was afforded an opportunity of personal hearing on December 12, 2013, which was rescheduled on the request of the Company. Thereafter, in the personal hearing held on January 23, 2014, the Company appeared through its authorised representatives, namely, Mr. Ashis P., Advocate, Mr. Surendar Shanna, Chartered Accountant and Mr. Sanjay Kumar Rai, Company Secretary. During the personal hearing, the representatives submitted the response (to the interim order) of the Company made vide letter dated January 23, 2014. The issue of non-convertible redeemable preference shares and payment deferment under the APS scheme were of a private nature only and the money so raised by issuing the above shares were utilized for the projects.
(f) Since incorporation, the Company has issued non-convertible redeemable preference shares, equity shares and raised funds through the APS scheme for ₹51.29 crores. As on date, the Company had issued equity shares for ₹5,05,000/- and non-convertible redeemable preference shares for ₹47.90 crores through private placement only. All the funds raised through APS scheme on private placement basis were invested in different diversified business such as capital intensive profitable projects like Star category Hotel units, Real-estate projects in prime location in cities, 'FMCG products trading', tea gardens, farms, packaging water projects, P.V.C. pipe factory, 'fish arat' etc, undertaken by the Company.

(k) The Company has not filed any prospectus/red herring prospectus with the RoC.
(l) The Company has issued securities on private placement basis through existing shareholders/employees/debtors and their relatives on regular basis. Hence, there was no opening and closing of subscription list. As the Company had issued securities on private placement, it has not appointed any agent, neither had it paid any commission etc to them. This fact could be verified from the balance sheet of the Company for the years 2011, 2012 and 2013.
(m) The details of the pending applications for allotment, list of allottees etc were enclosed to the reply by way of a compact disc.
(n) As the Company had issued securities on private placement through existing shareholders/employees/debtors and their relatives only, the subscription amount is restricted only upto the amount of shares allotted and the amount of shares pending allotment. The share certificates were collected by them mostly by 'hand' from the registered office of the Company. The Company did not issue any pamphlets/advertisements or other promotional material for issuance of preference shares to public at large.
(o) The terms and conditions of the issue of preference shares was mentioned in the application form (copy of the application was enclosed with the reply).
(p) The Company and its promoters are desirous of and committed to being fully compliant with the applicable SEBI regulations and shall provide all necessary and possible support and assistance by way of documents and information in order to address the issue. (s) The Company and its promoters do not desire to seek personal enrichment or any overt or covert interest.
In view of its submissions, the Company requested SEBI for grant of reasonable time to achieve compliance with the relevant provisions of the SEBI Act and the Companies Act.
6. I have considered the interim order containing the prima facie allegations against the Company, the reply of the Company including the documents enclosed thereto, the details present in the compact disc and other material available on record.
7. The allegation, in short, as levelled against the Company vide the interim order is that it had made a public offer of non-convertible redeemable preference shares and issued such securities to the public, without complying with the public issue norms as prescribed under the various provisions of the Companies Act read with the provisions of the SEBI Act. The Company has disguised such issuance of securities as private placement and had mobilized ₹47.90 crores from 1,05,809 investors. The Company has also mobilized funds from investors to the tune of ₹ 40 crores (approx.) but is yet to allot shares to them, as also alleged in the interim order. The directors and promoters of the Company were also prima facie held responsible for such alleged violations by the Company.
8. I have perused the copies of the documents submitted by the Company vide its reply dated January 23, 2014 including the CD containing the details such as the names of investors, number of shares applied, face value of the share, allotment of shares, details of pending allotment etc.
9. From the details present in the CD submitted in the personal hearing, I note the following with respect to the issuance of redeemable preference shares allotted to the investors by the Company : Date of allotment 01.09.2009 No. of shareholders 3,425 No. of shares allotted 19,00,000 shares Face value of share ₹10/- Total value /capital raised through this ₹1,90,00,000/-issuance of redeemable preference shares
Date of allotment 01.06.2010 No. of shareholders 15,757 No. of shares allotted 7,00,000 shares Face value of share ₹100/- Total value /capital raised through this ₹7,00,00,000/-issuance of redeemable preference shares
Date of allotment 30.03.2011 No. of shareholders 24,297
No. of shares allotted 10,00,000 shares Face value of share ₹100/- Total value /capital raised through this ₹10,00,00,000/-issuance of redeemable preference shares
Date of allotment 10.04.2011 No. of shareholders 18,846 No. of shares allotted 10,00,000 shares Face value of share ₹100/- Total value /capital raised through this ₹10,00,00,000/-issuance of redeemable preference shares
This allotment of shares was authorised by the board of directors of the Company in their meeting held on 10.04.2011. The Managing Director of the Company, Mr. Sahajahan Khan was authorised by the board to file the return of allotment and that the directors (Mr. Sahajahan Khan or Mr. Samsul Khan or Mr. Ramkrishna Mondal) were authorised to issue share certificates to the investors.
Date of allotment 10.06.2011 No. of shareholders 17,850 No. of shares allotted 9,00,000 shares Face value of share ₹100/- Total value /capital raised through this ₹9,00,00,000/-issuance of redeemable preference shares
This allotment of shares was authorised by the board of directors of the Company in their meeting held on 10.06.2011.
Snapshot of the details from the above tables : Total no. of investors * 1,05,807 Total amount of money mobilized ₹ 47.90 crores * It should be noted that in each of the above separate issuance of shares, the total number of investors who had subscribed for such shares were always above 50 investors. Therefore, such issuance of redeemable preference shares were public issues in terms of the first proviso to section 67(3) of the Companies Act, 1956.
10. I also note that as per the information provided by the Registrar of Companies, West Bengal, the allotment made in the year 2009 was made on October 19, 2009 as against September 01, 2009 (as informed by the Company). Further, in this allotment, the total number of investors were 3475 as against 3425. The details such as number of shares allotted (i.e., 19,00,000 shares) and the total amount mobilised (i.e., ₹1,90,00,000/-) is the same as per records of RoC as well as that provided by the Company. It is also noted that with respect to the allotment of shares made on June 01, 2010, the RoC has informed that the Company has raised ₹7,00,00,000/- (through the issue of 7,00,000 redeemable preference shares of ₹100/- each) from 15759 investors, whereas according to the submissions made by the Company, the total number of investors are 15757. As the details provided by the RoC are in turn the details furnished by the Company to the RoC with respect to its allotment of redeemable preference shares, it would be only reasonable to take the details as furnished by the RoC on record.
11. I have also perused the pamphlet which invited investors to subscribe to the redeemable preference shares of Rs.10/- each. The scheme of such plan was as under : Plan A B C D E Issue Price Minimum 100 Redeemable Preference Shares 1000 1000 1000 1000 1000 Redemption Period 3 Yrs 4.6 Yrs 8 Yrs 10 Yrs 12.6 Yrs Redemption Premium 700 1000 3000 5000 9000 Redemption Amount 1700 2000 4000 6000 10000
12. As mentioned above, the Company has made public issue of such securities disguising the same as private placements. The Company has also admitted that it did not file any prospectus/red herring prospectus with the RoC and that it had issued securities 'on private placement basis through existing shareholders/employees/debtors and their relatives on regular basis'. The Company has further admitted that there was no opening and closing of subscription list. The provisions of section 67 of the Companies Act is very clear. In terms of the first proviso to section 67(3), any issuance to investors to 50 or more persons becomes a public issue. From the details above, it can be seen that in each of the issue of redeemable preference shares, the number of investors exceeded more than 50 persons. Therefore, the Company was under a statutory obligation to comply with all public issue norms stipulated under the Companies Act and the SEBI Act.
13. The conduct of the Company and also its submissions prove that the Company failed to adhere to the public issue norms. Importantly, the Company should have sought and obtained permission for listing of its securities in terms of section 73(1) of the Companies Act. As per section 73(1) and (2), a company is required to make an application to one or more recognised stock exchanges for permission for the shares or debentures to be offered to be dealt with in the stock exchange and if permission has not been applied for or not granted, the company is required to forthwith repay with interest all moneys received from the applicants. The Company has therefore contravened the said provisions as it neither made an application seeking listing permission nor refunded the amounts on account of such failure. The Company has also not complied with the provisions of section 73(3) as it has not kept the amounts received from investors in a separate bank account and failed to repay the same in accordance with section 73(2). Further, the Company has admitted to have not filed any prospectus. This is in violation of section 60 read with section 2(36) of the Companies Act. Consequentially, the Company has also not complied with the provisions of section 56(1) and 56(3) of the Companies Act, 1956, which indicate the matters to be stated in the prospectus and the documents (i.e., the memorandum containing salient features of the prospectus) that should accompany the application form.
14. From the above, it becomes very clear that the Company had failed to comply with the provisions of the Companies Act, including sections 60 read with section 2(36), 56(1), 56(3) and 73 of the Companies Act, 1956, as alleged in the interim order against the Company.
15. The Company has also informed that it has collected ₹40,03,57,200/- from 36,591 investors and had not yet allotted shares to them. This detail is noted from the information provided by the Company in the compact disc submitted in the personal hearing. The said fact proves the allegation in the interim order that "From the audited accounts of KWIL, it is observed that KWIL collected share application money to the tune of ₹6.3 Crores in 2009-10, which increased to ₹10.25 Crores in 2010-11 and further increased to ₹40.03 Crores in 2011-12. …… It is noted that the aforesaid monetary amount collected was lying under the head "Share Application Money pending allotment" without actual allotment.". All the these mobilizations also appear to be in contravention of the public issue norms stipulated under the Companies Act, and which are bound to be returned to the investors, with interest, as may be applicable.
16. From the audited balance sheets of the Company, I also note the following details:
(a) From the balance sheet for the period ended March 2012, it is seen that it has total share capital of ₹47,95,00,000/- including ₹47,90,00,000/- from the issue of redeemable preference shares to the public. The said figure was at ₹28,95,00,000/- as per the balance sheet for the period ended March 2011. The amounts mobilised under the head "Share Application Pending Allotment" for the period 2012 was 40,03,57,200/- as against ₹10,25,05,000/- in the previous financial year ended March 2011. (b) For the financial year ended March 2010, the amount mobilized through subscriptions for the redeemable preference shares was ₹1,90,00,000/-.
17. All the above observations amply prove the allegations levelled against the Company in the interim order. Further, the directors and promoters of the Company, namely, Mr. Sahajahan Khan, Mr. Samsul Alam Khan, Mr. Ram Krishna Mondal, Mr. Prabir Haldar, Mr. Ratan Kumar, Mr. Ajay Kumar Srivastab, Mr. Selim Laskar, Mr. Lukaman Ansari, Mr. Chandan Chowdhury, Mr. Sahajamal Khan and Mr. Lakshmi Kanta Gayen are also responsible in respect of the default committed by the Company in not adhering to the public issue norms stipulated under the Companies Act, as alleged in the interim order. The jurisdiction and powers of SEBI in regulating such capital raising activities by companies have been reiterated and settled by the Hon'ble Supreme Court of India in Sahara India Real Estate Corporation Limited & Ors. vs. SEBI (Civil Appeal no. 9813 of 2011 - Judgment dated August 31, 2012).
18. The Company has requested SEBI for grant of reasonable time to achieve compliance with the relevant provisions of the SEBI Act and the Companies Act. In this regard, I wish to record that ratification and correction of the contravention of the norms laid down to raise capital from the public, as committed by the Company, cannot be allowed, as in terms of section 73, the moneys have to be forthwith returned (without interest if done within 8 days after acquiring the liability, and with interest thereafter). The Company has also submitted that it is making earnest efforts to complete the process of issue of shares to the shareholders at the earliest. As the Company had not adhered to the provisions of the Companies Act in respect of such fund mobilisation through issue or promise to issue redeemable preference shares, the Company has no other option except to return the money forthwith, collected from its investors in the form of subscriptions to the redeemable preference shares with or without allotment of shares.
19. SEBI is also in receipt of numerous complaints including by way of telephonic calls from investors regarding non-receipt of the maturity amount in respect of their investments in the redeemable preference shares issued by the Company. There are also complaints informing that the Company has opened a 'credit co-operative society' in the name of 'Quill Kisan Credit Producer Company Limited' and is advising its investors to transfer their investments to the said co-operative society. I also note that in an e-mail received by SEBI, the sender has informed that 'Quill Kisan Credit Producer Company Limited' is collecting money from investors in Uttar Pradesh (Purvanchal area). The e-mail also informs that the Company after being banned by SEBI, has changed its name to 'Quill Kisan Credit Producer Company Limited'. A copy of the membership application of Quill Kisan Credit Producer Company Limited was also attached in the aforesaid e-mail. However, from the available records, it is noted that the Company has not changed its name but appears to advise its investors to transfer their investments in the Company to a co-operative society. This conduct of the Company is not desirable.
20. Therefore, in view of the violations committed by the Company, and in order to safeguard the interest of investors who had invested in the Company and also the integrity of the securities market, I deem it appropriate to issue directions that are reasonable and necessary in the facts and circumstances of the case. In view of the foregoing, I in exercise of the powers conferred under section 19 of the Securities and Exchange Board of India Act, 1992 read with sections 11(1), 11A, 11B and 11(4) thereof, hereby issue the following directions :
