Order in the matter of Kavveri Telecom Products Limited
- Order No.WTM/GM/EFD1-DRA5/61/2020-21
Ratio decidendi
The rule this decision rests on
Where a listed company has, after show-cause proceedings, disbursed the dividend declared for the relevant year to the shareholders with interest, and the shareholder complaints have been closed on the regulator's system, the basis for further directions under Sections 11 and 11B of the SEBI Act on account of that non-payment no longer subsists, and the show-cause notice may be disposed of without directions. Where prosecution for the same delay in dividend payment is already pending before the criminal court, the regulator may decline to pass any further directions in the show-cause proceedings on the same default.
