Order in the matter of Cranes Software International Ltd.

Securities And Exchange Board Of India6 September 2021

Ratio decidendi

The rule this decision rests on

The Board will not pass further directions under Sections 11 and 11B of the SEBI Act against persons whose alleged failure to pay a declared dividend has been cured by payment, where the shareholder complaints arising from that failure stand closed on the regulator's records and the company's payment is established by a chartered accountant's certificate and a registrar's letter. Where a show cause notice concerns a violation of the Companies Act, 1956 that is also the subject of a criminal complaint pending before a special court, the pendency of that prosecution is a fact the Board takes into account in deciding whether any further directions under Sections 11 and 11B are warranted. Where proceedings against a noticee have been stayed by the Supreme Court, the allegations against that noticee are not considered in the order, and the show cause notice subsists only as against that noticee
