Order in respect of Smt. Sadhana Rai in the matter of Wellesley Corporation Limited
- CitationSEBI/WTM/SR/CFD–DCR/36/07/2017
Ratio decidendi
The rule this decision rests on
Where a transfer of the entire promoter shareholding from a promoter entity to an individual who already ultimately controls that entity, through a trust, results in no change in the ultimate control over the target company, no change in the aggregate promoter shareholding, no change in public shareholding, and continued compliance with minimum public shareholding requirements, the Board may exercise its power under Regulation 11(5) to exempt the acquirer from the open offer obligation under Regulation 3(1), on a favourable recommendation of the Takeover Panel. An exemption under Regulation 11(5) may be granted subject to conditions directed at preserving the transferor's continuing liabilities, the accuracy of the application's averments, and annual compliance confirmation. Such an exemption is confined to the open offer requirement under the Takeover Regulations and does not dispense with disclosure obligations or compliance with other securities laws and listing requirements.

Consideration of the Application and Findings –
