Order in respect of representations of Ketan Ramanlal Shah HUF and Vinay Ramanlal Shah HUF – in the matter of Illiquid Stock Options

Securities And Exchange Board Of India18 October 2016

Ratio decidendi

The rule this decision rests on

The interim restraint on dealing in securities may be relaxed to permit the debarred persons to return shares to relatives where documents (transaction statements, delivery instruction slips, contract notes, and a chartered accountant's certificate verifying books of account) show that the relatives purchased the shares, that the shares were transferred to the debarred persons' demat accounts, and that the relatives are constituents of the HUF or immediate family members. Such relief is granted without prejudice to the findings of the pending investigation. The relaxation is conditional. The return of shares is permitted only within the limit of 25% of the portfolio value as on the date of the interim order, or the amount in excess of profit made or loss incurred, whichever is higher, as provided in the earlier common relief order. Each relative receiving shares must also furnish an undertaking to the depositories accepting liability for misrepresentation or wrongful declaration, and the return is subject to supervision by the depositories.

Given the significant number of transactions and the complexity involved in purchase of shares by the relatives in multiple tranches through different stock brokers (dating back to 2008 as well), transfer of shares by the relatives to the debarred clients through multiple layers (through 3-4 entities) and in some instances return of shares from stock broker’s margin account to debarred client’s demat account, spanning over a number of years (e.g. 2008-2015), only sample instances were verified.
