Order in respect of Mrs. Santosh Gupta - in the matter of dealings in the shares of HPC Biosciences Limited

Securities And Exchange Board Of India27 October 2016

Ratio decidendi

The rule this decision rests on

A person who is not herself restrained by an interim order against others may be released from the freezing of a demat account that is held jointly with a restrained person, where the material shows prima facie that the securities in the account belong to her. Prima facie ownership is established by the account's first holder together with documentary evidence of the source of the funds, namely disclosure in audited balance sheets and income tax returns and a chartered accountant's certificate that the holdings were acquired from her own funds. Where the balance of convenience lies with such a non-restrained person, the authority may permit her to transfer the securities out of the jointly held account into an account held solely in her own name. That relief is subject to supervision by the stock exchanges and depositories and is without prejudice to the findings of the pending investigation.
