The rule this decision rests on
The exemption under Regulation 11(5) may be granted from the open offer obligation in Regulation 3 where a proposed transfer of shares to trusts is an internal restructuring of a promoter family. The transfer must leave the aggregate promoter group shareholding unchanged, effect no change in control, and leave public shareholding unaffected. Where the Takeover Panel has recommended against exemption because the trust deeds allowed non-promoter persons to become trustees or beneficiaries, the Board may still grant exemption if the acquirers undertake to amend those deeds so that trustees and beneficiaries are confined to family members and their lineal descendants, and to remove the secondary beneficiary provision. Exemption so granted is conditional. The shares held by the trusts are to be treated as held, for the purposes of the SEBI Act and the Regulations, both by the trustees and indirectly by the beneficiaries. Neither the trustees nor the beneficiaries may claim any limitation of liability under the SEBI Act and the Regulations. The transfer to the trusts does not change or dilute the individual transferors' liabilities and obligations under those enactments. The exemption is confined to the open offer requirement.
