Order against M/s.Anugrah Stock Broking Pvt Ltd, Member BSE and NSE

Securities And Exchange Board Of India22 May 2009

Ratio decidendi

The rule this decision rests on

A member of a stock exchange is deemed affected by a SEBI restraint order once the exchange publishes notice of it on its notice board under the exchange's rules, so that notice binds the member from the moment of posting even without direct service. A stock broker who executes trades on behalf of a client who is restrained by a SEBI order, after notice of that order, prima facie fails to exercise the due skill, care and diligence required by clause A(2) of Schedule II of the Code of Conduct for Stock Brokers, and thereby aids and abets the restrained person in violating the order. Where such conduct creates an emergency calling for immediate action to protect the safety and integrity of the market and the interests of investors, SEBI may under Sections 11, 11B and 11(4) of the SEBI Act, 1992 prohibit the broker from buying, selling or dealing in securities with immediate effect until further orders, while giving the broker a later opportunity to reply and to be heard.
