Oder In respect of Mr. D. N. Davar (PAN. AAAPD0015E) in the matter of Vishwas Steels Limited.
- Order No.WTM/GM/EFD/70/2017-18
Ratio decidendi
The rule this decision rests on
A person who had ceased to be a director of a listed company before the period of the alleged non-compliance with the SCORES circular cannot be held answerable for that non-compliance, so the directions issued against him on that basis are not maintainable. Where the basis for a restraint order against a director is shown to have failed, because he resigned before the relevant period and the Registrar of Companies confirms it, SEBI may revoke the directions against him under section 19 read with section 11B of the SEBI Act, 1992.
