Multiples Private Equity Fund III, SRF Transnational Holdings Limited, Balkrishna Industries Limited, Dharmayug Investments Limited, QRG Investments and Holdings Limited, Mr. Nishant k. Agarwal, and Ms. Mallika Srinivasan — Combination C-2022/03/911

Competition Commission Of India13 April 2022

Ratio decidendi

The rule this decision rests on

The Commission may approve a combination under Section 31(1) where the parties have no horizontal overlaps and no vertical links, and any complementary relationship between an acquirer's affiliates and the target group does not give either side the ability or incentive to foreclose competition, because each party's market share in the affected markets is insignificant. On that basis the combination is not likely to cause an appreciable adverse effect on competition in India, judged by the factors in Section 20(4). Where the competition assessment shows no appreciable adverse effect whichever way the relevant product market is defined, the Commission may leave the relevant product market undefined.
