Multiples Plenty Private Equity GIFT Fund — Combination C-2025/02/1244

Competition Commission Of India8 April 2025

Ratio decidendi

The rule this decision rests on

The Commission may approve a combination under Section 31(1) where, having assessed the material on record against the factors in Section 20(4), it is of the opinion that the combination is not likely to have an appreciable adverse effect on competition in India. Where the combined market share of the acquirer's group and the targets in each horizontally overlapping segment and sub-segment is below 1%, that low share supports this opinion. Where the acquirer's group affiliates' market share in life and general insurance is below 1%, and the targets' presence in insurance distribution is not significant, the resulting vertical interface does not, on the material before the Commission, make the combination likely to have an appreciable adverse effect on competition.
