- CitationCompany Appeal (AT) No. 02 of 2020
Ratio decidendi
The rule this decision rests on
The order records no reasoning of its own on the merits. It dispenses with the personal appearance of the Appellant's directors because they have given an undertaking of compliance before the Tribunal below, and it declines to interfere with the impugned order dated 11 December 2019 or to issue any direction to the Tribunal, disposing of the appeal without costs. The only legal basis stated is the undertaking itself, and the decision rests on no principle of law that can be extracted from the text. NO_RATIO: the order gives no reasons beyond recording a compliance undertaking and disposing of the appeal without interference, so no rule of law is stated.

the Directors may give prior notice so that the order could
be complied, subject to the challenge of the respondents
regarding the maintainability of contempt petition, as well
as order on the review petition.
Subject to the above said observations, we direct the
Special Officer to register transfer of shares in compliance

third party interest will be created upon transfer of shares
by the transferee of shares.
List the contempt application and the review petition on

In the circumstances, we are not inclined to interfere with the impugned
