M/s Jamnalal Sons Private Limited (“JSPL”), Mumbai — Combination C-2023/03/1010
- Case No.C-2023/03/1010
Ratio decidendi
The rule this decision rests on
An acquisition of additional shares that takes an existing shareholder from 44.2% to 49.71% of a target's equity, without any additional or special rights, and where the acquirer's group has no horizontal or vertical overlap with the target other than through the seller, is not likely to cause an appreciable adverse effect on competition in India in any relevant market, and may therefore be approved under Section 31(1). The Commission's conclusion that a combination is not likely to cause an appreciable adverse effect on competition rests on its assessment of the notified material against the factors listed in Section 20(4), and approval under Section 31(1) follows from that finding.
