Interim order against the past Directors of Mangalam Agro Products Limited, viz. Smt Runa Mazumder
- CitationWTM/SR/SEBI–ERO/IMD/178/11/2015
Ratio decidendi
The rule this decision rests on
Persons who were directors of a company during a public issue of securities that the regulator has held to be an unlawful fund-mobilising activity are, by reason of that office, answerable under the Companies Act, 1956 (ss. 56, 60 and 73(2)), s. 27(2) of the SEBI Act, 1992, and the SEBI (Issue and Listing of Debt Securities) Regulations, 2008, for non-compliance with those provisions, and their liability does not end on cessation of office where their tenure overlapped the offer. Where a director's tenure overlapped such an offer and the director, in that capacity, engaged in fund-mobilising activity through it, a prima facie violation of those provisions is established, and this suffices to justify interim directions under ss. 11, 11(4), 11A and 11B of the SEBI Act. Those directions restrain the director from issuing offer documents or soliciting money from the public, bar market access and dealing in securities, and require a full inventory of assets, pending a show-cause hearing and without prejudice to further action.
