Interim Order against the past Director of Rising Agrotech Limited, viz. Lina Kayal Chowdhury

Securities And Exchange Board Of India20 November 2015

Interim / procedural order — not a final adjudication. Do not cite as a holding.

Ratio decidendi

The rule this decision rests on

A director who was in office when a company mobilised funds from the public through an offer of securities, in breach of Sections 56, 60 and 73 of the Companies Act, 1956, is answerable for that breach under Section 27(2) of the SEBI Act, because those provisions impose liability on every director and officer in default. Where the material shows prima facie that she personally engaged in such fund mobilisation in her capacity as director, that finding justifies interim directions under Sections 11, 11(4), 11A and 11B of the SEBI Act, restraining her from soliciting public money, from accessing or dealing in the securities market, and requiring her to disclose her assets, pending a show-cause inquiry into final directions.
