Interim Order against the past Director of Bharat Krishi Samridhi Industries Limited, viz. Shri Basir Uddin Khan

Securities And Exchange Board Of India20 November 2015

Interim / procedural order — not a final adjudication. Do not cite as a holding.

Ratio decidendi

The rule this decision rests on

A director of a company that has illegally mobilised funds from the public through a public issue of securities is answerable, under Sections 56, 60 and 73 of the Companies Act, 1956 and the Debt Securities Regulations, for the company's non-compliance with those provisions. Section 27(2) of the SEBI Act empowers SEBI to proceed against such directors. Liability attaches where the director was in office during the offers and was engaged in fund mobilising activity in that capacity. Where SEBI is satisfied, on the findings of a prior final order, that a person was a director during the relevant offers and was engaged in fund mobilising activity from the public in that capacity, it may treat him as having violated those provisions. On that footing, pending the show-cause process, SEBI may issue interim directions under Sections 11, 11(4), 11A and 11B of the SEBI Act. These directions prohibit him from soliciting money from the public through any offer document or advertisement, bar him from accessing or dealing in the securities market, and require him to furnish an inventory of his assets, without the final quantum of liability having been determined.
