National Company Law Tribunal23 January 2023

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority may order the dissolution of a corporate person under Section 59 of the Insolvency and Bankruptcy Code, 2016 read with Regulation 38 of the IBBI (Voluntary Liquidation Process) Regulations, 2017, where the liquidator's application establishes that the assets of the company have been fully liquidated, its affairs wound up, and the statutory compliances under the Code and Regulations have been made, the Tribunal being satisfied on the record that the application is complete under Section 59(7) of the Code. An insolvency professional acting as liquidator in a voluntary liquidation is not, under the Code and the Regulations read with Section 178 of the Income-tax Act, 1961, required to obtain an NOC or NDC from the Income Tax Department as a compliance step in that process, as clarified by the IBBI circular relied upon, so that the absence of any response from the Income Tax Department to the liquidator's notice of appointment does not, of itself, bar dissolution.
