Ratio decidendi
The rule this decision rests on
The Tribunal may dissolve a company under Section 59(8) of the Insolvency and Bankruptcy Code, 2016, on a petition under Section 59(7) where, on examining the submissions and documents filed, it is apparent that the company's affairs have been completely wound up and its assets completely liquidated, such that the company deserves to be dissolved. Before dissolving the company, the Tribunal may take into account the responses of the Registrar of Companies and the Income Tax Department confirming that no enquiry, inspection, complaint, legal action, assessment proceeding, penalty, prosecution or outstanding demand is pending against the company. The dissolution order does not absolve the company or its directors from any financial or criminal liability arising from acts or omissions in the conduct of the company's affairs up to the date of dissolution.
