- CitationIA No. 298/2020 in CP No. (IB)-233/9/JPR/2019
Ratio decidendi
The rule this decision rests on
The Adjudicating Authority may pass a liquidation order under Section 33(2) of the Insolvency and Bankruptcy Code, 2016 where the Resolution Professional intimates a decision of the Committee of Creditors, approved by not less than sixty-six percent of the voting share, to liquidate the corporate debtor before confirmation of a resolution plan, and no further scrutiny of the commercial wisdom behind that decision is required beyond the statutory conditions being satisfied. Where the Resolution Professional under Section 33(1)(a) or (b) of the Code has not received a resolution plan within the insolvency resolution period, or the plan has been rejected for non-compliance, the Adjudicating Authority shall order liquidation, issue a public announcement and direct the order to be sent to the registering authority. The period of lockdown imposed by the Central Government in the wake of the Covid-19 outbreak is excluded, under Regulation 47A of the IBBI (Liquidation Process) Regulations, 2016, from the computation of timelines for any liquidation-related task that could not be completed due to the lockdown, so that an application filed after the nominal limitation period is nonetheless within time once that excluded period is deducted. Under Section 34(1) of the Code, the Resolution Professional appointed for the corporate insolvency resolution process, upon filing written consent in the specified form and being eligible and unobjectionable on the records of the Board, shall act as liquidator unless replaced by the Adjudicating Authority under Section 34(4).
