In the matter of Supernova Technologies Private Limited

National Company Law Tribunal5 January 2024

Ratio decidendi

The rule this decision rests on

Where the liquidator reports that the assets of a corporate debtor have been completely liquidated, the liquidator is required under Section 54(1) of the Insolvency and Bankruptcy Code, 2016 to apply to the Adjudicating Authority for dissolution, and the Adjudicating Authority, on such an application, orders dissolution from the date of its order under Section 54(2). Where the record shows that the corporate debtor's assets were exhausted save for accumulated losses, no resolution applicant having come forward and the committee of creditors having resolved to liquidate, and the bank accounts were closed with the necessary compliance steps completed, the statutory precondition of complete liquidation of assets is satisfied and dissolution under Section 54 is properly ordered.
