Ratio decidendi
The rule this decision rests on
The Adjudicating Authority will not approve a resolution plan under Section 31(1) of the Insolvency and Bankruptcy Code, 2016 where the plan does not make adequate provision for its effective implementation, as required by Section 30(2)(d) and (e), and where the applicant has not demonstrated feasibility, viability, and capability to implement it as required by Regulation 38(3) of the CIRP Regulations; a plan that merely distributes a nominal payout to the sole CoC member and leaves the corporate debtor without business, assets or employees does not meet those requirements. The Committee of Creditors' commercial wisdom is not immune from scrutiny; where the CoC approves a plan without evaluating its feasibility and viability, without examining the debtor's transactions or the basis of its claims, and in a manner that does not maximise value, the Adjudicating Authority may decline to give effect to that approval, since commercial wisdom must be exercised in a manner that is bona fide, informed and consistent with the Code. Where a resolution plan is rejected under Section 31(2) for non-compliance with the Code and Regulations, and no plan is approved within the CIRP period, the Adjudicating Authority must order liquidation of the corporate debtor under Section 33(1)(b) of the Code.
