In the matter of Sunil Kumar Agrawal vs. Navin Kumar Tayal,

National Company Law Tribunal1 August 2024

Ratio decidendi

The rule this decision rests on

Where a repayment plan is rejected by the creditors in a meeting convened under Section 112 of the Insolvency and Bankruptcy Code, 2016, the Adjudicating Authority, under Section 114(1), must approve or reject the repayment plan on the basis of the report of that meeting; absent any material to impeach the report, the Authority is bound to approve the Resolution Professional's report recommending rejection. Upon rejection of the repayment plan under Section 114, the debtor and the creditors may file an application for bankruptcy under Chapter IV in accordance with Section 115(2) read with Section 121, and creditors are at liberty to initiate such proceedings. Where the repayment plan stands rejected, an application under Regulation 22 of the IBBI (Insolvency Resolution Process for Personal Guarantors to Corporate Debtors) Regulations, 2019, seeking the co-operation of the personal guarantor, is rendered infructuous and stands disposed of.

voting share to be assigned to each creditor in the manner specified by the Board. The Section 109 of IBC, 2016 reads thus: “109. Voting rights in meeting of creditors –- (1) A creditor shall be entitled to vote at every meeting of the creditors in respect of the repayment plan in accordance with the voting share assigned to him. As has been provided in Section 110 of IBC, 2016 the Secured Creditor shall also be entitled to participate and vote in the meetings of the creditors. In terms of the provisions of Section 111 of IBC, 2016, the repayment plan or any modification to the repayment plan shall be approved by a majority of more than three-fourth in value of the creditors present in person or by proxy and voting on the resolution in a meeting of the creditors. The Section 111 of IBC, 2016 reads thus:

IA/816(AHM)2024 and IA/730(AHM)2024 in CP(IB/59(AHM)2019 In the matter of: Navin Kumar Tayal (Personal Guarantor)

“111. Approval of repayment plan by creditors – The repayment plan or any modification to the repayment plan shall be approved by a majority of more than three-fourth in value of the creditors present in person or by proxy and voting on the resolution in a meeting of the creditors.” 24. As can be seen from the aforementioned, the RP has prepared the report of meeting of creditors on repayment plan. It is apparent from the report that the repayment plan has been rejected by the creditors. It is seen that the provisions of Section 113 of IBC, 2016 have been complied with. The Gmail reads thus:-

IA/816(AHM)2024 and IA/730(AHM)2024 in CP(IB/59(AHM)2019 In the matter of: Navin Kumar Tayal (Personal Guarantor)

25. Apparently, the RP has provided a copy of the report prepared in terms of the provisions of Section 112 of IBC, 2016 to the debtor and all the creditors. A copy of the report has also been placed on record as enclosure to this application. 26. As can be seen from the provisions of the Section 114 of IBC, 2016, the Adjudicating Authority shall by an order approve or reject the repayment plan on the basis of the report of the meeting of the creditors submitted by the Resolution Professional under Section 112. The provisions of Section 114(1) of the IBC, 2016 reads thus:- “114. Order of Adjudicating Authority on repayment plan–-(1) The Adjudicating Authority shall by an order approve or reject the repayment plan on the basis of the report of the meeting of the creditors submitted by the resolution professional under section 112: Provided that where a meeting of creditors is not summoned, the Adjudicating Authority shall pass an order on the basis of the report prepared by the resolution professional under section 106.” 27. As apparent from the report of RP, the creditors have in their meeting convened by the RP rejected the repayment plan. From the provisions of Section 114 of IBC, 2016 it is clear that this Adjudicating Authority need to approve or IA/816(AHM)2024 and IA/730(AHM)2024 in CP(IB/59(AHM)2019 In the matter of: Navin Kumar Tayal (Personal Guarantor)

reject the repayment plan on the basis of the report of the meeting of creditors. There is no material adduced before us, in terms of which the report may be nixed. In the wake, we are left with no option but to approve the report of RP, recommending the rejection of the repayment plan. 28. As can be seen from the provisions of Chapter-IV of IBC, 2016, particularly Section 121 thereof, in the event of rejection of repayment plan or there being no repayment plan submitted by the debtor/PG, an application for bankruptcy of debtor will be made by creditor individually or jointly with other creditors or by debtor to the Adjudicating Authority in the circumstances mentioned in the section. One of such circumstances is passing of order under Section 115(2) of IBC, 2016. 29. In terms of the provisions of Section 115 (2) of IBC, 2016 with the Adjudicating Authority rejecting the repayment plan under Section 114, the debtor and the creditors shall be entitled to file an application for bankruptcy under Chapter IV. The provisions of Section 115(2) of IBC, 2016 reads thus:

Effect of order of Adjudicating Authority on repayment plan–- (2) Where the Adjudicating Authority admits an application under sub-section (1), it may, on the request of the resolution professional, issue instructions for the purpose of conducting negotiations between the debtor and creditors and for arriving at a repayment plan.” 30. In view of the above, delay of 7 days in filing the present application is condoned and prayers 1, 2 and 3 are allowed. 31. Further, the creditor/s shall be at liberty to initiate the proceedings in terms of the provisions of Section 115(2) of IBC, 2016 read with Section 121 thereof. 32. The RP stands discharged and he is entitled to claim IRP costs from the Stakeholders. 33.
