National Company Law Tribunal12 September 2024

Ratio decidendi

The rule this decision rests on

The Tribunal's reasoning rests on the following propositions, in the order the order takes them: Where a Committee of Creditors, after its constitution under Section 21(1) and before confirmation of a resolution plan, resolves by not less than sixty-six per cent of the voting shares to liquidate the corporate debtor, the Adjudicating Authority is bound under Section 33(2) to pass a liquidation order, and the Authority is entitled to take that resolution as satisfied where the vote meets the threshold; the commercial decision of the Committee of Creditors to liquidate is not open to judicial review on its merits. The corporate insolvency resolution process must be completed within one hundred and eighty days from the date of admission under Section 12(1), and any extension beyond that period is available only on an application made by the resolution professional, instructed by a sixty-six per cent resolution of the Committee of Creditors, and granted by the Adjudicating Authority under Section 12(3), with such extension not exceeding ninety days and not granted more than once; where no such application is made, the continuation of the process and any meetings of the Committee of Creditors held after the expiry of the period are in breach of Section 12, and this breach is a ground for the Adjudicating Authority's findings against the applicant resolution professional, though it does not by itself prevent the passing of a liquidation order under Section 33(2).
