Ratio decidendi

The rule this decision rests on

Where a company undergoing voluntary liquidation under Section 59 of the Insolvency and Bankruptcy Code, 2016, has, on the voluntary liquidator's report and the material before the Adjudicating Authority, completed the statutory compliances (declaration of solvency, special resolution, public announcement, filings with the Registrar of Companies and the Board, and the liquidator's final report), has no unsatisfied liabilities or claims, and there is no adverse comment from any statutory authority or the public, the Adjudicating Authority may under Section 59(8) order that the company stand dissolved from the date of the order and discharge the voluntary liquidator. An Adjudicating Authority, before dissolving a company under Section 59(8), must be satisfied from the documents on record that the voluntary liquidation has not been undertaken with the intent to defraud any person, and that the company's affairs have been completely wound up with its assets liquidated and no liabilities left unsatisfied.
