National Company Law Tribunal8 November 2021

Ratio decidendi

The rule this decision rests on

The Tribunal holds that a resolution plan approved by the Committee of Creditors with 100% voting share, which is found by the Adjudicating Authority to be viable and feasible, and which complies with sections 30 and 31 of the Insolvency and Bankruptcy Code, 2016 and regulations 38 and 39 of the CIRP Regulations, is to be approved under section 31 of the Code, provided no circumstance militates against its grant. Where a resolution plan is approved, the Adjudicating Authority may direct the resolution applicant to obtain statutory sanctions or approvals from governmental authorities within one year, or within such longer period as the applicable law provides, whichever is later, as prescribed under section 31(4) of the Code. On approval, the moratorium under section 14 ceases to have effect from the date of the order, and the resolution professional stands discharged subject to performing duties under the approved plan; the approved plan binds the corporate debtor and its stakeholders with immediate effect.
