Ratio decidendi
The rule this decision rests on
The Adjudicating Authority will dissolve a corporate debtor under section 54(2) of the Insolvency and Bankruptcy Code, 2016 where, on the liquidator's application supported by the final report and accounts, the affairs of the corporate debtor have been wound up, its assets fully liquidated, and the liquidation account closed, so that there is no impediment to dissolution. Where the liquidator's application discloses that the liquidation estate has been fully realised or distributed, and the liquidation bank account carries a zero balance, the Tribunal may treat the statutory precondition for dissolution as satisfied and order dissolution without further inquiry.
