In the matter of Rama Management & Consultancy Private Limited
- CitationC.P. (IB) No. 187/KB/2026
Ratio decidendi
The rule this decision rests on
The Tribunal, having satisfied itself that the requirements of Section 59 of the Insolvency and Bankruptcy Code, 2016, Regulation 42 of the IBBI (Voluntary Liquidation Process) Regulations, 2017 and Form J are met, will permit termination of a voluntary liquidation where the members have passed a special resolution for termination which states the rationale for termination, the treatment of liquidation costs, and a declaration that termination will not prejudicially affect the interest of any stakeholder, the liquidator has filed a Form J report with the statement required by Section 59(5A)(d), and the liquidator has intimated the IBBI and the Registrar of Companies within seven days of the resolution. Where the company owes no debt, the requirement for approval of the special resolution by creditors representing two-thirds in value of debt does not arise. The absence of a deliberation on liquidation costs in the special resolution is not fatal where the record shows that no claims were received, no assets were realised, no separate bank account was opened, and all liquidation costs have been discharged, so that no subsisting claim or prejudice to any stakeholder is shown.

6. Analysis and Findings: 6.1 We have heard the learned Counsel for the Applicant and perused the evidences placed on record. The primary issue for consideration before this Tribunal is whether the statutory compliances for termination of a Voluntary Liquidation Application under Section 59 of the IBC, 2016 and Regulation 42 of the Voluntary Liquidation Regulations, 2017 have been duly complied with. 6.2 Section 59(5A) of the IBC, 2016 read with Regulation 42 of the Voluntary Liquidation Process Regulations, 2017 has provided the following requirements that need to be met with for termination of a Voluntary Liquidation Application: a. The members of the company have passed a special resolution for terminating the voluntary liquidation proceeding. b. The said resolution must provide for: I. rationale for termination of voluntary liquidation proceedings, II. Treatment of liquidation costs, and III. Declaration that termination will not result in prejudicially affecting the interest of any stakeholder.
DIVISION BENCH, COURT-I KOLKATA C.P. (IB) No. 187/KB/2026 c. Where the company owes debt to any person on the date of the resolution, creditors representing two-thirds in value of such debt have approved the resolution passed by the members of the Company within a period of seven days of such resolution. d. The liquidator shall intimate the Adjudicating Authority, along with a report in Form J as prescribed by the IBBI through the Circular IBBI/VL/97/2026 dated 02.06.2026, regarding termination of voluntary liquidation proceedings, accompanied by a statement that –
I. due process for termination of voluntary liquidation proceedings has been followed; and II. the termination of voluntary liquidation proceedings is not initiated to defraud any person and the corporate person is solvent.
e. Once the aforementioned requirements are complied with, the liquidator shall intimate the IBBI and the ROC regarding the special resolution within a period of seven days of passing the resolution or subsequent approval of the creditors thereof, as the case may be. 6.3 In the present case, it is evident that the majority Directors of the Company had made the requisite Declaration as prescribed under Section 59(3)(a) of IBC, 2016 and confirmed that the Company will
DIVISION BENCH, COURT-I KOLKATA C.P. (IB) No. 187/KB/2026 be able to pay its debts in full from the proceeds of assets to be sold in voluntary liquidation.10 Thereafter, the voluntary liquidation proceedings were initiated on 15.12.2025 wherein the Applicant was appointed as the Liquidator 11 followed by issuance of public announcement12 on 16.12.2025 in Aajkaal (Bengali) and Business Standard (English). 6.4 Since the Board of Directors of the Company found it commercially viable to continue its business operations rather than proceed with the voluntary liquidation of the Company, the members of the Company, at their meeting held on 31.12.2025, passed a Special Resolution approving the termination of the voluntary liquidation proceedings13. The said decision was communicated to the IBBI and the ROC vide email dated 03.01.2026, which is within the seven days of passing of the special resolution for termination of voluntary liquidation proceedings.14 Since the Company does not owe any debt, the requirement of obtaining the approval of creditors representing two-thirds in value of such debt to the Special Resolution passed by the members of the Company does not arise. 6.5 Although the members of the Company did not deliberate upon the treatment of liquidation costs in the Special Resolution approving

DIVISION BENCH, COURT-I KOLKATA C.P. (IB) No. 187/KB/2026 termination of voluntary liquidation proceedings, it is pertinent to note that no claims were received from any creditor or workman pursuant to the public announcement, no assets were sold, no separate bank account was opened for the liquidation process, and all liquidation costs, including professional fees and advertisement expenses have been duly discharged. There is nothing on record to indicate the existence of any subsisting claim or prejudice to any stakeholder on account of the proposed termination. 6.6 Furthermore, as per the Form J15 annexed to the present Application, all the requirements set out under the said Form have been complied with. 6.7 The Applicant submits that the Form MGT-14 filed in respect of the Special Resolution passed on 15.12.2025 for commencement of voluntary liquidation is reflected as "Cancelled" on the MCA Portal. The Company's status has continued to remain "Active" in the records of the ROC. Accordingly, no separate filing or application for restoration or reversion of the Company's status is required. The Master Data on the MCA Portal also reflects the status of the Company as "Active"16. 6.8 The Applicant's Authorisation for Assignment (AFA) was rejected by the ICSI Institute of Insolvency Professionals on the ground, inter alia, that he had failed to file an application seeking termination of 15 Annexure J. 16 Annexure-B.

However, the issue pertaining to the renewal of the Applicant's AFA falls outside the scope of the present proceedings.
