In the matter of Pramukh Car Riders Limited
- CitationIA No. 2118/2020 in CP (IB) No.3730/MB/C/IV/2019
Ratio decidendi
The rule this decision rests on
Where the committee of creditors, by a resolution approved by not less than sixty-six per cent of the voting share, decides before confirmation of a resolution plan to liquidate the corporate debtor, and the resolution professional intimates that decision to the Adjudicating Authority, the Adjudicating Authority is bound under section 33(2) to pass a liquidation order; the Authority's function at that stage is to give effect to the committee's decision rather than to examine its merits. Where the committee of creditors has resolved to liquidate the corporate debtor and to appoint a named resolution professional as liquidator, and the resolution professional has intimated that decision, the Adjudicating Authority may appoint that person as liquidator under section 34(1) of the Code, with the consequences of the liquidation order (vesting of the Board's powers in the liquidator, cessation of the management's powers, and the moratorium under section 52) following from the order itself.
