In the matter of NJ Global Finance (IFSC) Private Limited

National Company Law Tribunal25 October 2023

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority may order the dissolution of a corporate person under Section 59(8) of the Insolvency and Bankruptcy Code, 2016 on a liquidator's application under Section 59(7) only where the affairs of the company have been completely wound up and its assets fully liquidated, so that nothing remains to be administered. Where the voluntary liquidation process was not completed within the period stipulated in the preliminary report and the petition was filed out of time, the Adjudicating Authority may require the liquidator to place on record the consent of the stakeholders extending the time limit for the liquidation process, and may proceed to dissolution only once that extension has been regularised by the stakeholders' resolution.
