In the matter of Maximaa Systems Limited

National Company Law Tribunal24 April 2024

Ratio decidendi

The rule this decision rests on

The Tribunal's order rests on the following reasoning: Where the Committee of Creditors has not ratified the expenses incurred by an Interim Resolution Professional and has not acknowledged the claim as CIRP costs, the Adjudicating Authority may, on the Committee's own reply conceding that payment is ready and willing to be made, and on the basis that the Form H shows no assets available to meet the costs, direct the sole CoC member to pay the unratified expenses to the Corporate Debtor within a fixed period. Where an earlier order has directed interim payment of an Interim Resolution Professional's fees and expenses until the CoC decides the question, that interim direction does not preclude a later direction for payment of the expenses the CoC has not ratified once the CoC's own reply accepts liability for them.
