National Company Law Tribunal21 December 2023

Ratio decidendi

The rule this decision rests on

The Tribunal allowed the exclusion of the period of the nationwide lockdown imposed during the COVID-19 pandemic (24.03.2020 to 31.10.2020) from the computation of the CIRP period, relying on the NCLAT decision in Reliance Naval and Engineering as cited before it. Where a stay on the constitution of the Committee of Creditors or on the consideration of liquidation has been operative during the CIRP, the period during which the CIRP was at a standstill on account of that stay is to be excluded from the computation of the CIRP period, and the Tribunal may extend the CIRP period accordingly. The Tribunal may extend the CIRP period under Section 12(2) of the Code for a further period of sixty days upon the Committee of Creditors' approval, where a resolution plan has been received and is under consideration by the Committee at the relevant juncture.

14. We have heard the learned Counsel and perused the material available on record. 14.1. On perusal of the records, we found that IA 1924 of 2020 was heard and reserved for Orders on 17th August, 2021, however no Order has been passed therein till date. Accordingly, this Bench on 20.12.2023, and IA 1924 of 2020 was taken on Board and heard. After hearing the Counsel, this Bench finds that this Application

MUMBAI BENCH-I

I.A. 1924 OF 2020 I.A. 5476 OF 2023 In CP(IB)2300/2018 seeks (a) rectification of Order dated 26th February, 2020 passed in IA 520/2020 by rectifying the date of completion of CIRP to be 20.5.2020 instead of 4.5.2020 (b) exclusion of period of 222 days i.e. 24.3.2020 to 31.10.2020 pursuant to lockdown imposed amidst COVID-19 pandemic so as to extend the period of CIRP till 28.12.2020 and (c) Order for extension of moratorium period accordingly. The Applicant has placed reliance on the NCLAT decision in the case of Reliance Naval and Engineering, wherein the Hon’ble NCLAT had allowed the exclusion of period of lockdown. After going through the records, this Bench finds the prayer in Order and allows the rectification of the Order dated 26.2.2020 by substituting the date 20.5.2020 in place of 04.05.2020 therein; and also allows the exclusion of period of lockdown from 24.3.2020 to 31.10.2020. 14.2. This Bench further notices that this Tribunal had stayed the decision with respect of liquidation of the Corporate Debtor without permission of this Tribunal vide its order dated 4.6.2021 which came to be vacated on 31.08.2023. Thereafter, Two applications were filed before this Bench by the prospective Resolution Applicants for consideration of their plan, as no order for liquidation was passed by that time. This Bench, after considering that the Code intends all efforts to be made for the resolution of the Corporate Debtor and its liquidation to be a last resort allowed both the applications by directing the Applicant to place their plan before CoC for consideration and seek further extension of 60 days vide Order dated 10.10.2023. 14.3. In the facts and circumstances of the case, this Bench finds that on account of stay granted by this Tribunal on consideration of liquidation of corporate debtor from 4.6.2021 till 31.08.2023, the MUMBAI BENCH-I

I.A. 1924 OF 2020 I.A. 5476 OF 2023 In CP(IB)2300/2018 CIRP process was at stand still. In accordance with the extensions granted by this Tribunal prior to that, the period of CIRP ended on 28.12.2020. This Bench finds that there is no application seeking extension or exclusion of period thereafter, except the present one which also seek exclusion of period from 29.12.2020 to 26.10.2023. It is matter of record that this Tribunal had not passed any order in IA 1924/2020 which sought extension/exclusion till 28.12.2020 and the order came to be passed now. Since, two Prospective Resolution Applicants are before CoC, and their plan is under consideration at this juncture, this Bench considers it appropriate to allow the prayers in IA 5476/2023 so as to exclude the period from 29.12.2020 to 26.10.2023 (which includes the period from 4.6.2021 to 31.08.2023 being the period during which the decision to consider liquidation of Corporate Debtor was stayed by this Bench) and extend the CIRP period from 27.10.2023 for further period of 60 days.

15. In view of foregoing, IA 1924/2020 and IA 5476/2023 are disposed of as allowed.
