In the matter of Kundan Jewellers & Exporters Private Limited

National Company Law Tribunal23 September 2026

Ratio decidendi

The rule this decision rests on

Where a voluntary liquidation under Section 59 of the Insolvency and Bankruptcy Code, 2016 has been conducted by the liquidator, the affairs of the corporate person have been wound up, its assets realised and distributed to its members, and its liquidation account closed, and where the liquidator has certified compliance with the Code and the IBBI (Voluntary Liquidation Process) Regulations, 2017, the Tribunal may under Section 59(8) dissolve the corporate person, provided it is satisfied that the liquidator has complied with the statutory requirements and that the corporate person deserves to be dissolved. Non-completion of the liquidation within the 90-day period prescribed by Regulation 37 does not, of itself, bar dissolution where the liquidator has explained the delay by reference to administrative and statutory requirements, has held meetings of contributories after that period, and has furnished the Final Report and Compliance Certificate; the Tribunal treats such delay as one of compliance to be satisfied by explanation rather than as a ground for refusing dissolution.
