In the matter of King’s Worldwide India Centre Private Limited

National Company Law Tribunal7 May 2025

Ratio decidendi

The rule this decision rests on

The Tribunal may order dissolution of a corporate person under section 59 of the Insolvency and Bankruptcy Code, 2016 on a liquidator's application under section 59(7) where the liquidator has filed a final report, the corporate debtor's affairs have been wound up, and the requisites of section 59 are satisfied; the Tribunal is satisfied on the record that the corporate person could discharge its liabilities and its affairs are completely wound up. A regulatory non-compliance by the corporate person, such as a failure to file the balance sheet and annual return for a financial year under the Companies Act, 2013, does not by itself bar voluntary liquidation under section 59, where the audited financial statements for that year are placed on record and the Registrar of Companies raises no objection. Dissolution under section 59 does not discharge liabilities arising after dissolution: the Tribunal records that any future liability shall be dealt with by the directors and shareholders of the company in accordance with law.
