In the matter of Hariom Rice Mill Private Limited

National Company Law Tribunal11 October 2023

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority, acting under Section 60(5) of the Insolvency and Bankruptcy Code, 2016, may approve an acquisition plan for a corporate debtor sold as a going concern in liquidation and may grant to the successful bidder, on the basis of the parity drawn between a resolution applicant under corporate insolvency resolution and a purchaser in liquidation, the benefits, privileges and entitlements usually available to a resolution applicant, to the extent they are within the Tribunal's own power and not dependent on the consent of other authorities. Relief which operates as a blanket, categorical exemption from the requirement of obtaining the approval, renewal or fresh grant of statutory permits, licences and clearances from competent authorities is not granted; where the corporate debtor must approach such authorities, those authorities are to consider the request in terms of the Code's intent and spirit, and the Tribunal does not itself dispense with their statutory requirements. The Tribunal may direct that the statutory consequences of a sale of the corporate debtor as a going concern follow, including that dues and liabilities of the corporate debtor which are extinguished under the approved plan are credited to capital reserve in accordance with applicable accounting standards, that accumulated losses are adjusted against that reserve, and that any residual losses may be carried forward only subject to the statutory conditions of the Income Tax Act, including the opportunity to be given to the Principal Commissioner of Income Tax.
