In the matter of Giridhan Projects Private Limited

National Company Law Tribunal2 February 2021

Ratio decidendi

The rule this decision rests on

Where the resolution professional intimates the Adjudicating Authority, at any time during the corporate insolvency resolution process and before confirmation of a resolution plan, of a decision of the Committee of Creditors approved by not less than sixty-six per cent of the voting share to liquidate the corporate debtor, section 33(2) of the Insolvency and Bankruptcy Code, 2016 requires the Adjudicating Authority to pass an order for liquidation of the corporate debtor under section 33(1). Where no resolution plan has been received even after the time for receipt of plans has been extended, and the Committee of Creditors resolves by a 100 per cent voting share to liquidate the corporate debtor, the statutory condition in section 33(2) is satisfied and liquidation must be ordered.
