Ratio decidendi
The rule this decision rests on
Where a corporate debtor undergoing voluntary liquidation under Section 59 of the Insolvency and Bankruptcy Code, 2016 has had its affairs completely wound up and its assets fully liquidated, with liquidation costs paid and the balance distributed to shareholders in accordance with Section 53(1), the Adjudicating Authority may order the dissolution of the corporate person under Section 59(8) of the Code. Where the Liquidator has not completed the liquidation within the period stated in the preliminary report, the Adjudicating Authority may, before passing an order of dissolution, require the Liquidator to place on record a shareholders' resolution extending the liquidation period, and the Liquidator's compliance with such a direction is a precondition to dissolution.
