National Company Law Tribunal18 October 2023

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority is satisfied, on the basis of the liquidator's compliance with Section 59 of the Code and the Voluntary Liquidation Process Regulations, that the affairs of the corporate debtor have been completely wound up, no liabilities remain unsatisfied, and no adverse statutory or public objection exists, and on that basis it may order dissolution under Section 59(7) of the Code. A liquidator who has completed the steps prescribed for voluntary liquidation, including public announcement, intimation to the tax authority, preparation of the list of stakeholders and preliminary and final reports, and who has filed the compliance certificate in Form-H, is entitled to seek dissolution of the company, and the Tribunal may grant it where the record shows the company's affairs are wound up without any unsatisfied liabilities and the proposed dissolution does not prejudice members or the public interest. The absence of a statutory requirement to file a balance sheet for a part of the financial year in which liquidation commenced does not, on the reasoning of the Tribunal, by itself warrant rejection of the application, where the audited financial statements for that period have been filed on a without-prejudice basis and the Registrar's objection is met by that filing.
