National Company Law Tribunal29 August 2023

Ratio decidendi

The rule this decision rests on

The Committee of Creditors may resolve to liquidate the corporate debtor at any time after its constitution under section 21(1) and before confirmation of a resolution plan, including before the preparation of the information memorandum, and where such a decision is approved by not less than sixty-six per cent of the voting share, the Adjudicating Authority is bound under section 33(2) to pass a liquidation order. A commercial decision of the Committee of Creditors to liquidate the corporate debtor is not open to judicial review by the Adjudicating Authority on its merits, so that where the Committee resolves for liquidation with the entire voting share, the Tribunal does not inquire into the wisdom of that decision before ordering liquidation.
