In the matter of DJ Freight Private Limited
- CitationCP (IB)-34-2022
Ratio decidendi
The rule this decision rests on
The Tribunal, on an application for dissolution of a corporate person under Section 59 of the Insolvency and Bankruptcy Code, 2016, holds that where the liquidator has certified that the affairs of the company have been wound up and all its assets completely liquidated, and the statutory compliances under the Code and the IBBI Voluntary Liquidation Regulations have been made, the application under Section 59(7) is complete and the Tribunal may, in exercise of its power under Section 59(8), allow it and order the corporate person dissolved from the date of the order. A liquidator's obligation to intimate the Income Tax Department of his appointment under Section 178(1) of the Income-tax Act, 1961, is satisfied by such intimation; the Tribunal, relying on the IBBI circular of 15.11.2021, treats the liquidator as not required to obtain any NOC or NDC from the Income Tax Department as a condition of the voluntary liquidation process, and the absence of a response from the Department to notice of the application does not stand in the way of dissolution.
