In the matter of Dinesh Gangaprasad Jaiswal,

National Company Law Tribunal16 February 2024

Ratio decidendi

The rule this decision rests on

At the stage of appointing a resolution professional under Section 97 of the Insolvency and Bankruptcy Code, 2016, the Adjudicating Authority performs no judicial adjudication; it does not hear the parties to determine jurisdictional facts, and the resolution professional so appointed serves a facilitative, recommendatory role in collating facts for the examination of the application under Section 94, as held in Dilip B Jiwrajka v. Union of India as applied in this order. Where the proposed resolution professional has withdrawn his name and furnished a no-objection certificate, and a replacement professional is appointed in his place, an application seeking to declare the earlier nominee unfit and to have him replaced is allowed by substitution of the appointee and disposed of, without any separate finding on the alleged unfitness.

IN THE NATIONAL COMPANY LAW TRIBUNAL, MUMBAI BENCH COURT III C.P.(IB)-1238(MB)/C-III/2022 given in para 86 of the judgment, relevant extract of which is reproduced below:-

86…… ii. The resolution professional appointed under Section 97 serves a facilitative role of collating all the facts relevant to the examination of the application for the commencement of the insolvency resolution process which has been preferred under Section 94 or Section 95. The report to be submitted to the adjudicatory authority is recommendatory in nature on whether to accept or reject the application;

iii. The submission that a hearing should be conducted by the adjudicatory authority for the purpose of determining ‘jurisdictional facts’ at the stage 62 when it appoints a resolution professional under Section 97(5) of the IBC is rejected. No such adjudicatory function is contemplated at that stage. To read in such a requirement at that stage would be to rewrite the statute which is impermissible in the exercise of judicial review;
