In the matter of DHARMKALP CONSTRUCTIONS AND CONSULTANCY PRIVATE LIMITED

National Company Law Tribunal28 August 2026

Ratio decidendi

The rule this decision rests on

Where a resolution professional intimates the Adjudicating Authority, during the corporate insolvency resolution process and before confirmation of a resolution plan, of a committee of creditors decision approved by not less than sixty-six percent of the voting share to liquidate the corporate debtor, the Adjudicating Authority is bound under Section 33(2) of the Code to pass a liquidation order, and the CoC's decision to liquidate may be taken at any time after its constitution and before confirmation of the resolution plan, including before the information memorandum is prepared. Where the committee of creditors, with 100% voting share, has resolved to liquidate on the ground that the corporate debtor owns no tangible assets and has no scope for a resolution plan, and the resolution professional has complied with the Tribunal's direction to place on record the estimated liquidation costs approved by the CoC, the statutory conditions of Section 33(2) are satisfied and liquidation of the corporate debtor in the manner laid down in Chapter III of the Code may be ordered.
