In the matter of Centerpiece Business Solutions Private Limited
- CitationCP (IB) No.172/(PB)/2026
Ratio decidendi
The rule this decision rests on
The Tribunal, having been satisfied that the requirements of Section 59 of the Code are met, may order the dissolution of a corporate person under voluntary liquidation once the affairs of the company have been completely wound up and its assets fully liquidated, and the Tribunal is satisfied on the documents on record that the statutory preconditions have been complied with. Where a company under voluntary liquidation has no creditors at the commencement of liquidation, the proviso to Section 59(3)(c) of the Code does not require approval of creditors, and where the company has no assets other than cash and cash equivalents, no valuation report under Section 59(3)(b)(ii) is required. A delay in completing the liquidation within the prescribed period of 90 days from the liquidation commencement date, where the delay is explained by the liquidator as caused by statutory inspection or demand proceedings requiring verification and settlement of dues, may be condoned by the Tribunal. A "no further observations" submission by counsel for the Registrar of Companies, recorded in the Tribunal's order, is treated as the absence of objection to the voluntary liquidation, and any liability arising after dissolution is to be dealt with by the directors and shareholders in accordance with law and does not bar the order of dissolution.

Analysis and Findings:
29. On hearing the submissions made by the liquidator and perusing the documents annexed to the petition, it appears that the affairs of the Corporate Person have been completely wound up and its assets have been completely liquidated.
30. We are satisfied that the requisites of Section 59 of the Code are met in the present case and from perusal of documents on record. The Declaration of Solvency by a majority of the directors, the audited financial statements for the preceding two financial years, the special resolution requiring the Company to be liquidated voluntarily and appointing the Liquidator, the public announcement, the intimations to the RoC and IBBI, the preliminary report, the list of stakeholders, the final report and the compliance certificate in Form H are all on record. No valuation report was required as the Company has no assets other than cash and cash equivalents. The Independent Auditor’s Report for the financial year ended 31.03.2025 also notes that the Company does not have any pending litigation which would impact its financial position.
31. We also find it pertinent to note that Ld. Counsel for the RoC has appeared before this Adjudicating Authority and has submitted that the RoC has no further observations or objections to the voluntary liquidation of the Corporate Person, as recorded in our order dated 22.09.2026. The delay, if any, in completing the liquidation process within 90 days from the Liquidation Commencement Date has been explained by the Liquidator, and the said delay is condoned. The demand raised by the Income Tax Department for the financial year 2024-25 has been paid, and the Income Tax Return for the financial year 2025-26 has been filed. Nevertheless, we specifically record that any liability arising in future shall be strictly dealt with by the directors and shareholders of the Company in accordance with the law.
32. In view of the above facts and circumstances, we are inclined to pass orders for dissolution of the Company, Centerpiece Business Solutions Private Limited, and CP (IB) No. 172/PB/2026 is ALLOWED accordingly. IB-172/PB/2026
33. The Liquidator of the Corporate Person is further directed to serve a copy of this order upon the Registrar of Companies (hereinafter referred as RoC), Delhi, immediately and, in any case, within fourteen days of receipt of this order. The RoC shall take further necessary action upon receipt of a copy of this order.
34. The liquidator is also directed to preserve a physical or electronic copy of the reports, registers and books of accounts for at least 8 years as per Regulation 41 of the Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process Regulations) 2017.
35. The Company Petition bearing CP (IB) No. 172/PB/2026 is disposed of with the above directions.
36. The registry is directed to send email copies of the order forthwith to the Corporate Person represented by its Liquidator and its Ld. Counsel for taking further steps. The Registry is directed to serve copy of order upon the parties.
37. File be consigned to the record storage (current).
