In the matter of Best Bazaar Retail LLP

National Company Law Tribunal17 April 2023

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority must order liquidation of a corporate debtor under section 33(2) of the Insolvency and Bankruptcy Code, 2016, where the Resolution Professional intimates the Committee of Creditors' decision, approved by not less than sixty-six percent of the voting share, to liquidate the corporate debtor. Where no resolution plan has been received before the expiry of the corporate insolvency resolution process, the Adjudicating Authority must pass an order of liquidation under section 33(1)(a) of the Code. Read conjointly with section 33(2), these provisions leave the Adjudicating Authority no option but to order liquidation once both conditions are met.
