In the matter of Balmukh GoldJewel & Multitrading Private Limited

National Company Law Tribunal10 November 2023

Ratio decidendi

The rule this decision rests on

The Tribunal's order rests on the following reasoning. Where the Resolution Professional applies under Section 33(1) of the Insolvency and Bankruptcy Code, 2016, and the Committee of Creditors has resolved by 100% voting to liquidate the corporate debtor after no resolution plan was received within the statutory CIRP period including extension, the Adjudicating Authority is required to order liquidation of the corporate debtor in the manner laid down in the Code, and may do so without further inquiry where the material on record supports that course. The Adjudicating Authority, in ordering liquidation under Section 33 and appointing a liquidator under Section 34, directs that liquidation proceed as a going concern in the first instance and, failing that, by sale through other methods, with the consequential effects under the Code (cessation of the powers of the board and key managerial personnel, vesting of those powers in the liquidator, and the moratorium on suits and proceedings under Section 52, subject to the liquidator's liberty to sue with prior approval).
