In the matter of B. Y. Agro & Infra Limited

National Company Law Tribunal26 July 2022

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority may, on an application by the resolution professional under Section 33(2) of the Insolvency and Bankruptcy Code, 2016, order the liquidation of the corporate debtor where the Committee of Creditors has, by a resolution passed with the requisite majority, resolved that no appropriate resolution plan could be found during the corporate insolvency resolution process and approved liquidation, the resolution professional being authorised to file the application for that purpose. Where the Committee of Creditors has, in the same resolution, appointed the applicant resolution professional as liquidator and he has consented to act, the Adjudicating Authority may appoint him liquidator under Section 34(1) of the Code, and on that appointment the powers of the board of directors, key managerial personnel and partners of the corporate debtor cease and vest in the liquidator, with the consequential directions under the Code and the Liquidation Process Regulations, 2016.
